Terms of Service

These Terms of Service ("Terms") cover your use of Akra HQ, the mobile and web application operated by Akra LLC ("we," "our," or "us") (the "App"). By using the App, you agree to these Terms. If you do not agree, do not use the App.
1. Eligibility
The App is for adults (18 and older) working in professional construction settings. By using it, you confirm you are at least 18.
2. Company accounts
Akra HQ is used by companies (each a "Company") to run their crews, jobs and equipment. Accounts are created by invitation from a Company. The Company decides who it invites and what role each person has, and is responsible for its users' use of the App. You are responsible for keeping your sign-in details private, for activity under your account, and for telling us right away about any unauthorized use.
3. Hours, overtime and payroll
The App calculates hours and overtime from the information entered into it, to help your Company. Your Company is responsible for reviewing hours before paying them and for meeting its own payroll, wage and overtime obligations. The App's calculations are not legal, tax or payroll advice.
4. Acceptable use
Use the App only for lawful purposes related to construction operations. Do not: enter false or misleading information, including hours; harass, threaten or intimidate other users; upload malicious content or code; try to access the App, other companies' data or other users' accounts without permission; interfere with or disrupt the App, or use it for anything illegal.
5. Your content
You and your Company keep ownership of the content you enter (jobs, assignments, hours, equipment records, bulletins, notes). You give us a limited license to store, display and transmit that content as needed to provide the App. You are responsible for the content you enter and confirm it is accurate and does not violate anyone's rights or the law.
6. Our intellectual property
The App, including its design, features and code, is owned by Akra LLC. You may not copy, modify or distribute the App, reverse engineer it or try to extract its source code, or use our names, logos or branding without permission.
7. Notifications
The App sends push notifications for job assignments, reminders, bulletins and other updates. You can turn them off in your device settings, but you may miss assignments if you do.
8. Pilots and preview versions
During a pilot or preview, the App is provided free of charge and features may change, be removed or not work as expected. We may end a pilot or preview at any time.
9. Disclaimer of warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY OF CONTENT OR CALCULATIONS. We do not promise the App will be uninterrupted, error-free or secure.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AKRA LLC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM USE OF OR INABILITY TO USE THE APP. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID FOR THE APP (IF ANY) IN THE TWELVE MONTHS BEFORE THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Akra LLC and its officers, employees and agents from claims, damages, losses and expenses (including legal fees) arising from your use of the App, your violation of these Terms or your violation of anyone else's rights.
12. Deactivation and termination
Your Company can deactivate your account at any time, and you lose access right away. We may suspend or end access to the App for anyone who violates these Terms. You can stop using the App at any time and request account deletion as described in the Akra HQ Privacy Policy, which also explains what records are kept.
13. Changes to these Terms
We may update these Terms and will tell you about significant changes in the App or by email. Continuing to use the App after a change means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law rules. Disputes will be resolved in the courts located in Ohio.
15. Severability and entire agreement
If any part of these Terms is found unenforceable, the rest stays in effect. These Terms and the Akra HQ Privacy Policy are the entire agreement between you and Akra LLC about the App. If your Company has a separate signed agreement with Akra LLC, that agreement controls where it conflicts with these Terms.
